1) The buyer expressly warrants that the goods are being purchased in the course of the buyers business.
2) The goods are not sold with the benefit of or subject to any conditional warranty, express or implied by statute or otherwise, as to their capacity, age , quality description, state, condition or merchantability or suitability or fitness for any purpose or otherwise whatsoever.
3) No liability shall attach to the seller, either in contract or tort, whether arising from the negligence of the seller or otherwise, for loss or injury or damage (other than liability for death or personal injury) arising from the negligence of the seller, sustained by reason of any defect in the goods or any of them whether such defect be latent or apparent on examination of the goods, and the buyer hereby indemnifies the seller against all claims which may be made against the seller for all liability at lawwhether arising from the negligence of the seller or otherwise for damages in consequence of or arising out of any defect in the goods.
4) No person not in the actual employ of the seller has express or inplied authority to act as agent for the seller. The seller shall, under no circumstances be held liable for any statement or representation made by any person through whom this may have been introduced, negotiated or conducted.
5) The description of the goods is believed to be correct, but the seller makes and gives no warranty or condition that the details supplied are accurate.
6) The ownership of the goods shall remain with the seller who reserves the right to dispose of the goods until payment in full for all goods supplied by the seller have been received by it in accordance with the terms of this contract, or until such time as the buyer sells the goods to its customers by way of bona fida sale at full market value. If payment is made by cheque, ownership of the goods shall remain with the seller until the cheque has been honoured.
If such payment is overdue in whole or part the seller may (without predujice to any of its other rights) recover or resell the goods or any of them and may enter upon the buyers premises by its servants or agents for that purpose. Such payments shall become due immediately upon the the commencement of any act or proceedings in which the buyers solvency is involved. If any of the goods are incorporated in or usedas materials for other goods before such payment, the property is the whole of such goods before such payemnt, the property in the whole of such goods shall be and remain with the seller until such payment has been made or the other goods have been sold as aforesaid and all the sellers rights hereunder in the goods should extend to those other goods.
7) Payment for the goods becomes due thirty days after delivery
The implemented recommendations for use cannot be guaranteed since Tri-Pac Limited have no control over methods of application.
